Onomi’s services enables more effective database management and this will compliment Node 4’s scalable portfolio of end-to-end IT solutions. Onomi is based in Nottingham and came to our firm because of our M&A expertise and involvement in similar sale processes.
Buster + Punch is a London-born home fashion label, which works with rare solid materials to make extraordinary items for everyday use. We have acted for the company since its early stages. Most recently, we have acted on an investment round led by Mobeus Equity Partners. This VCT investment gives B+P development finance to grow its presence, product range and marketing reach.
We acted for Schools and Academies Finance on the sale of their software division in April 2017. SAAF offers a bespoke financial management service for schools and academies. SAAF retains its core business, offering a bespoke financial management.
AppInstitute is a leading online app builder. We have acted for them since the initial venture capital investment by Foresight Nottingham Fund in 2014. We are pleased to have been involved in their most recent funding round and to be handling ongoing employee incentive work.
CVued directly connects teachers and schools from around the world through its online application. CVued is a relatively new client to us and our first instruction relating to a key investment by a private investor connecting to a leading international education provider. The shareholders at CVued include Jermaine Jenas, former Nottingham Forest and England player, who is a brand ambassador and spearheads the company’s charitable work with schools.
Instarmac Group PLC manufacturers specialised mortars, concrete repair and highway maintenance products. We have acted for them on several matters over the last two years. This includes the recent investment in Warmup PLC, the world’s bestselling underfloor heating brand.
We acted for Lion and its shareholders in the sale to Ashtead Group Plc in October 2016, in a transaction which valued the business at £38m. We have acted for the company since start up. The transaction included a reference to the CMA, which decided not to intervene.
We acted for Mind Click and its shareholders on the sale to Learning Pool. The award-winning company specialises in bespoke e-learning and was established in Nottingham in 2010 by Sean Reddington and three other directors.
We acted for Westleigh and its shareholders (including over 100 employee shareholders) in an equity investment of £21m by Palatine Private Equity, in a deal valuing Westleigh at £65m. We have acted for three years and worked on the transaction with Clearwater Corporate Finance. Westleigh builds around 1,200 homes a year and is partway through a £280m 3-year build cycle.
We acted for Wineworld and its shareholders in the sale of Wineworld London Limited (formerly a plc) which owns the Vinopolis ledger complex next to London’s Borough Market. The significance (but undisclosed) price for the deal reflects the value real estate held by the company. We have acted for several years, including its move from a public to private company and significant share buy backs.
We have acted on acquisitions for Elmhurst, including the purchase of the accreditation business of National Energy Services. The Lutterworth-based company is now a major player in the energy assessment field.
We acted for Plantscape and its shareholder on the sale to TCL Holdings in June 2016. The Ashbourne-based company supplies floral displays, planters and other street furniture to local authorities across the UK.
